These Terms & Conditions apply to your use of our website and to property enquiries or introductions submitted to us.

2. Use of Our Website

You may use our website for lawful purposes only.

The information provided on this website is for general information and does not constitute financial, investment, legal, tax or other professional advice.

While we aim to keep information accurate and up to date, we cannot guarantee that all information on the website will always be complete or current.

3. Property Enquiries

Property owners, or people authorised to act on their behalf, may submit details of properties they believe may be of interest to us.

By submitting information, you confirm that it is accurate to the best of your knowledge and that you are entitled to provide it to us.

Submitting a property does not commit you to selling it and does not commit JA Properties Co. to making an offer or proceeding with an acquisition.

Any expression of interest, proposed purchase price or heads of terms issued by us will be subject to contract and, where applicable, satisfactory due diligence, legal review, funding, valuation and any other conditions communicated as part of the proposed transaction.

4. Property Introductions

We also welcome introductions from people who are aware of commercial properties that may be suitable for us to acquire.

By making an introduction, you confirm that:

the information provided is accurate to the best of your knowledge;

you are entitled to provide the information to us; and

where you provide personal information about another person, you are entitled to share that information with us.

An introduction does not oblige us to contact the owner, make an offer or proceed with an acquisition.

5. Introduction Fees

Where we advertise or agree to pay an introduction or referral fee, the amount and any specific conditions will be stated in the relevant advertisement, form or communication.

Unless we agree otherwise in writing, an introduction will qualify for a fee where:

you are the first person to introduce the relevant opportunity to us;

we were not already aware of or actively considering the same opportunity;

sufficient information is provided for us to identify the property and opportunity; and

JA Properties Co., or a company or entity connected with us, subsequently completes the acquisition.

An introduction fee becomes payable only following completion of the relevant acquisition unless we expressly agree otherwise in writing.

No fee becomes payable merely because an introduction is submitted, a viewing takes place, an offer is made or accepted, solicitors are instructed or contracts are exchanged.

If the acquisition does not complete, no introduction fee will be payable unless we have expressly agreed otherwise.

6. Existing and Duplicate Opportunities

Where we were already aware of or actively considering an opportunity before receiving an introduction, that introduction will not normally qualify for a fee.

Where the same opportunity is introduced by more than one person, we will determine which introduction qualifies by reference to our records and the timing and circumstances of the introductions.

Simply forwarding a publicly advertised property that we were already aware of does not create an entitlement to an introduction fee.

We may ask for further information where reasonably necessary to establish whether an introduction qualifies.

7. Introducers

Introducers act independently and are not employees, agents or representatives of JA Properties Co.

Unless we have expressly agreed otherwise in writing, an introducer is not authorised to negotiate, make offers, make commitments or otherwise act on our behalf.

Introducers are responsible for ensuring that their own activities comply with any legal, regulatory or professional requirements applicable to them.

8. Introduction Fee Payments and Tax

The applicable introduction fee will be the amount stated in the relevant advertisement, form, communication or separate written agreement.

Where VAT is properly chargeable by a VAT-registered introducer, VAT will only be payable in addition to the stated fee where expressly agreed by us and supported by a valid VAT invoice.

Introducers are responsible for their own tax obligations arising from any payment they receive.

9. Our Acquisition Decisions

We decide which opportunities we wish to investigate and pursue.

We may choose not to proceed with an opportunity, or discontinue discussions, at any time before we become legally bound to proceed.

We do not guarantee that a property submitted or introduced to us will result in a viewing, offer or acquisition.

Nothing in these Terms prevents us from contacting property owners directly, conducting our own enquiries or obtaining information about a property from other sources.

10. Privacy and Personal Information

We process personal information in accordance with our Privacy Policy and applicable UK data protection law, including the UK GDPR and Data Protection Act 2018.

Where information about another person is provided to us as part of a property introduction, we may use that information to assess the opportunity and, where lawful and appropriate, contact the relevant person.

Please refer to our Privacy Policy for further information about how we collect, use, retain and protect personal information.

11. Intellectual Property

Unless otherwise stated, the content of this website, including its text, graphics, branding and logos, is owned by or licensed to JA Properties Co.

You may not reproduce or commercially use our website content without our prior written permission except where permitted by law.

Our website may contain links to, or use services provided by, third parties.
